Key information relating to subscription rights in Solstad Newco in connection with the refinancing of Solstad Offshore
Reference is made to the stock exchange notice by Solstad Offshore ASA (“SOFF”) 23 October 2023 regarding the refinancing of Solstad Offshore (the “Notice”).
As further set out in the Notice, a private placement (the “Private Placement”) to raise NOK 0.75 billion in new equity in Solstad NewCo (as defined in the Notice) will, subject to applicable securities laws, be directed towards eligible existing shareholders in SOFF with the following key dates:
Date on which the contemplated transaction was made public: 23 October 2023
Last day including right to participate in the Private Placement: 27 October 2023
Ex-date: 30 October 2023
Record date: 31 October 2023
Date of approval: 23 October 2023
SOFF will revert with details about the number of shares which may be subscribed in the Private Placement and the subscription price in due course.
